Terms of Service

• Work-for-Hire: Services provided by J-Shade Media are considered "work-for-hire." The Artist retains all ownership of the master recordings and copyrights upon full payment.
• Unpaid Work: The Company retains 100% ownership of all property and files if services remain unpaid.
• Label Partnership & Royalties: For projects published under the J-Shade Records label, the Artist enters a royalty-sharing agreement. The Artist shall receive 85% of all net royalties, and the Company shall retain 15% as the Label’s share. This share grants the Artist the right to use the J-Shade Records name and branding in connection with the release.
  
• Credit Requirement: The Artist must credit J-Shade Records LLC or the business owner’s personal name in all metadata, descriptions, and physical credits.
• Portfolio Right: The Company reserves the right to use produced content in its website portfolio and marketing unless the Artist explicitly opts out in writing prior to project commencement.

• Merchandise: All merchandise must be paid for 100% upfront.
• Media Services: A 50% non-refundable deposit is required to begin. The remaining 50% completion fee must be paid to release the final high-resolution files.
• Late Fees: Payments overdue by 14 days incur a 20% late fee. This may only be waived if the Artist contacts the Company within the 14-day window with a valid excuse (e.g., payroll delays).

• Revisions: Includes one (1) complete overhaul. Minor tweaks are permitted within reason.
• Additional Fees: Fixes that double the original project time incur a 30% fee. Subsequent complete overhauls incur a 50% fee.
• Technical Standards: Audio is delivered as 48kHz 24-bit WAV. Video is delivered at 1080p, 24fps (Cinematic Standard).

• Asset Delivery: Once an Artist states media is ready, they have 7 days to send files. Failure to do so without an agreed-upon deadline extension gives the Company the right to cancel the project.
• Feedback Window: Artists have 7 days to provide feedback or payment after a milestone. A reminder will be sent on Day 5.
• Refunds: Services are refundable in the early stages; however, as the project nears completion (past 50% progress), fees become non-refundable.

• Indemnification: The Artist warrants they own or have cleared all rights to samples, footage, or assets provided. The Artist agrees to indemnify and hold J-Shade Records LLC harmless against any legal claims arising from copyright infringement.
• Breach of Terms: If the completion payment is not received within 31 days, or if the Artist provides unauthorized copyrighted material that jeopardizes the business, the Company may terminate the agreement, retain the deposit, and discard all project files.
• Exclusivity: This is a non-exclusive agreement. Artists may sign with other labels, but existing J-Shade Records publications remain with the label unless a formal takedown request is processed.

• Prohibition of Generative AI: The Company does not use AI for creative production (clerical use only). The use of AI-generated content by the Artist (excluding minor samples to be manually composed) is prohibited. Violation may lead to project cancellation and forfeiture of deposit.
• AI Training: The Company does not train AI models on Artist work. While the Company cannot guarantee third-party platforms will not scrape data as it becomes accessible on the internet, the Company will never directly sell or provide Artist media for AI training purposes.
